This EULA governs your use of Digital Funnels software, websites, and services (the "Services"). By using the Services you agree to this EULA.
License
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business purposes, subject to this EULA and applicable Order/SOW.
Acceptable Use
No unlawful, infringing, harmful, or abusive use. No reverse engineering, scraping at scale, or interfering with security.
Accounts & Data
You are responsible for account credentials and content submitted. You represent you have the rights to submit any data you connect (e.g., accounting or banking data via third-party providers).
Third-Party Services
The Services may integrate with third parties (e.g., Intuit QuickBooks, Google, Meta). Your use of those services is governed by their terms. We do not control and are not responsible for third-party services.
Note: When you connect third-party services through Digital Funnels, you're also agreeing to their respective terms and privacy policies.
Fees & Taxes
Fees are as agreed in your Order/SOW. Taxes are your responsibility unless legally required otherwise.
IP Ownership
We and our licensors retain all rights in the Services. You retain rights in your content and data.
Confidentiality
Each party will protect the other's Confidential Information and use it only to deliver or receive the Services.
Warranty Disclaimer
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim implied warranties of merchantability, fitness, and non-infringement to the fullest extent permitted by law.
Limitation of Liability
To the maximum extent permitted, our aggregate liability is limited to fees paid in the 3 months preceding the claim. We are not liable for indirect, incidental, special or consequential damages.
Termination
We may suspend or terminate for breach or risk. Upon termination you must stop using the Services. Disconnection instructions are provided on the relevant app pages (e.g., QuickBooks).
Compliance & Export
You will comply with applicable laws (including U.S. law) and will not export or re-export contrary to U.S. export controls.
Governing Law
California law governs this EULA; venue is Los Angeles County, California.
