These Terms of Service ("Terms") govern your access to and use of DigitalFunnels LLC's services, websites, and software (collectively, the "Services").

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Description of Services

We provide consulting, implementation, and management services for:

• CRM and sales systems
• Paid media and advertising
• Marketing operations
• Web development
• Telephony and VoIP solutions
• Google Business Profile optimization

3. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your business.

4. Account Registration

You are responsible for:

• Providing accurate account information
• Maintaining the security of your credentials
• All activities that occur under your account
• Notifying us immediately of unauthorized access

5. Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or malware
• Attempt unauthorized access to our systems
• Use the Services for spam or harassment
• Interfere with other users' access
• Reverse engineer or copy our software

6. Payment Terms

• Fees are as agreed in your Statement of Work (SOW) or Order
• Invoices are due within 30 days unless otherwise specified
• Late payments may incur interest charges
• You are responsible for all applicable taxes
• We may suspend services for non-payment after notice

7. Intellectual Property

Our IP: We retain all rights to our software, services, documentation, and methodologies.

Your Content: You retain ownership of content and data you provide. You grant us a license to use it solely to provide the Services.

Deliverables: Custom work products created specifically for you are licensed to you upon full payment, subject to our retention of underlying IP.

8. Third-Party Services

Our Services integrate with third-party platforms (for example, Google, Meta, and QuickBooks). Your use of these platforms is governed by their terms. We are not responsible for third-party services. For the current list of providers that process data on our behalf, see our Sub-processors page.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee uninterrupted or error-free operation. Results may vary based on your specific circumstances.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY IS LIMITED TO THE FEES YOU PAID IN THE 3 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

12. Confidentiality

Each party agrees to protect the other's confidential information and use it only as necessary to perform under these Terms.

13. Term and Termination

These Terms continue until terminated by either party. We may suspend or terminate your access for violation of these Terms. Upon termination:

• You must stop using the Services
• Outstanding fees remain due
• We may delete your data per our retention policy
• Provisions that should survive (payment, IP, disclaimers) continue

14. Modifications

We may modify these Terms at any time. We will notify you of material changes. Continued use after changes constitutes acceptance.

15. Dispute Resolution

These Terms are governed by California law. Disputes will be resolved in Los Angeles County, California. You agree to first attempt good-faith negotiations before litigation.

16. General

• Entire Agreement: These Terms and referenced policies constitute the entire agreement
• Severability: Invalid provisions are severed; remaining Terms continue
• No Waiver: Failure to enforce a right does not waive it
• Assignment: You may not assign these Terms without our consent
• Force Majeure: Neither party is liable for delays due to events beyond reasonable control
